Blackbaud, Inc. Announces Acquisition of eTapestry

CHARLESTON, S.C. — August 6, 2007 – Blackbaud, Inc. (NASDAQ: BLKB), the leading provider of software and related services designed specifically for nonprofit organizations, announced today that it has acquired privately-owned eTapestry, based in Indianapolis, Indiana. Under the terms of the agreement, Blackbaud paid an aggregate purchase price of approximately $24.8 million, plus an additional amount of up to $1.5 million under a two-year stock-based performance incentive arrangement. Blackbaud financed the deal through a combination of cash and borrowings from its credit facility.

Founded in 1999, eTapestry developed one of the first Software-as-a-Service (SaaS) offerings built specifically for nonprofits. eTapestry’s flagship offering is its on-demand fundraising solution, which is easy to use, easy to deploy and maintain. eTapestry currently has more than 3,000 customers on its on-demand services, with donor records ranging from several hundred per organization to more than 300,000.

Marc Chardon, Blackbaud's chief executive officer, said, "We are very excited to announce the acquisition of eTapestry. This strategic move provides Blackbaud with a best-of-breed, on-demand fundraising solution that is ideally suited for smaller organizations interested in an easy to deploy and relatively low cost offering, as well as mid-sized nonprofits interested in a stand-alone fundraising solution deployed in an on-demand model." Chardon added, "This acquisition opens up a market opportunity that Blackbaud was not actively addressing. Combined with the robust functionality of Raiser's Edge and our integrated suite of solutions, we believe that Blackbaud is now positioned to meet the fundraising needs of all nonprofits, irrespective of their size or approach to technology.

Chardon added, "From a long-term perspective, we believe that Software-as-a-Service offerings in the nonprofit sector will grow in importance. With the acquisition of eTapestry, we have positioned Blackbaud to participate in an early-stage, high-growth trend with a company that has a proven solution, customer base and growth track record. In addition, Blackbaud adds significant domain expertise in the nonprofit sector and on-demand market."

eTapestry will continue operations as a wholly-owned subsidiary in Indianapolis. The 85-person company will continue to be led by Jay Love, co-founder and currently CEO of eTapestry. Jay previously served as a sales and marketing consultant at Target Software, as well as president and CEO of Master Software Corporation, which was acquired by Blackbaud in 1997. John Moore, eTapestry's co-founder and vice president of development, and Steve Rusche, eTapestry's co-founder and COO, both plan on continuing in their current roles with eTapestry as it becomes part of Blackbaud. On a combined basis, the founders of eTapestry have spent more than 50 years helping nonprofits implement and use fundraising software.

Jay Love, eTapestry's co-founder and chief executive officer, said "Having previously been the CEO of a company that was sold to Blackbaud, as well as working at Target Software, I am extremely familiar with Blackbaud's value proposition, proven track record with customers, corporate culture and clear industry leadership position. Today's announcement is great news for our customers and employees, as we are combining eTapestry's thought and market leadership in on-demand fundraising solutions with Blackbaud's significant resources and far greater critical mass. The products and target markets of both companies are highly synergistic, and we look forward to working with Marc and the rest of the Blackbaud management team to ensure that we deliver on the combined companies' potential."

Tim Williams, Blackbaud's CFO, stated, "In addition to the strategic reasons supporting the acquisition of eTapestry, we believe the acquisition is attractive from a financial perspective as well. Specifically, Blackbaud will be adding another high-growth, subscription-based revenue stream from an on-demand service offering. The combination of eTapestry, Target Software and Blackbaud's previously existing subscription revenue sources represent the highest growth revenue line in our business. The growing portion of Blackbaud's revenue that is coming from recurring sources, combined with its very strong cash flow, provides the company with a very attractive business model."

The company's management will provide details on the expected financial impact of the eTapestry acquisition on its second quarter 2007 earnings conference call scheduled for later today, August 6. Details for this call are contained separately in a press release dated July 11, in addition to a press release on the Company’s second quarter financial results issued after market close today.

eTapestry named "Best Places to Work"

INDIANAPOLIS - (May 2007) eTapestry was named one of the "Best Places to Work" in the state of Indiana by the Indiana Chamber of Commerce. At an awards ceremony hosted by the Chamber, eTapestry was recognized as the 19th best work environment in the small-medium company category (less than 250 employees).

"It is very gratifying to make the list of "Best Places to Work", especially when considering the other companies on the list," said Steve Rusche, Co-Founder and COO. "All of the folks at eTapestry work hard to create a positive and productive work environment, and this confirmation of their efforts is very rewarding."

The Indiana Chamber announced rankings for all 50 companies who made the "Best Places to Work in Indiana" list at an awards luncheon at the Indiana Roof Ballroom attended by more than 650 Hoosier businesspeople. Names of companies on the list had been released February 26.

“Best Place to Work” honorees were determined through employer reports and comprehensive employee surveys, with winners selected in two categories: small to medium-sized companies of between 25 and 249 employees, and large-sized companies consisting of 250 or more employees. Out-of-state parent companies were eligible to participate if at least 25 full-time employees are in Indiana.

The Best Companies Group has overseen similar programs in 18 other states. ModernThink, LLC, a workplace excellence consulting firm, handled the selection process. The basis for this initiative is Fortune magazine’s noted "100 Best Places to Work for" list.

Walker Information and eTapestry team up to offer donor loyalty services to nonprofit organizations

INDIANAPOLIS – (March 2007) In the increasingly saturated nonprofit sector, the drive to bring in donor dollars is at an all-time high. The competition for the donor dollar will only increase as more options become available for the public to donate to. As a result, Walker Information and eTapestry have formed an alliance to provide non-profit organizations more services to measure the loyalty of their donors.

eTapestry Chief Operating Officer Steve Rusche recognizes the impact these services can have on the long-term fundraising success. "Having an extremely high percentage of truly loyal donors is a positive sign for the nonprofit industry," Rusche said. "As a result, this information offers organizations a solid projection of which donors are likely to continue their support, and which ones can benefit from additional outreach to help ensure they continue their support in the future."

Through asking a series of questions, donors will be segmented into one of four loyalty segments – truly loyal, accessible, trapped, and high risk. Truly loyal donors feel very positive about the organization and will continue to support it in the future. Accessible donors feel positively about the organization but just cannot say they will support the organization in the future due to external reasons such as lack of funds or loss of a job. Trapped donors do not feel all that committed to the organization but are going to continue to support the organization. Finally, high-risk donors are not all that committed to the organization and do not plan to support the organization in the future.

This alliance has made the process of obtaining such critical loyalty information very simple, yet very powerful. eTapestry can setup the donor loyalty survey for an organization. Then, when the donor logs into the system to make a donation, they are asked to take a very short survey at the end of the transaction. After the completion of the survey, the organization will be able to view the results in real time. A quarterly report also will be produced summarizing the results for the individual organization and comparing their results to similar organizations.

Walker Information Senior Consultant Chris Woolard recognizes the potential widespread impact of this Walker Information and eTapestry alliance. "Walker and eTapestry share the same principles regarding loyalty, so it will be fascinating to apply these principles to the nonprofit sector," Woolard said.

Loyalty Measurement Now Available to Nonprofits

INDIANAPOLIS - For the first time, nonprofit organizations will have a dynamic tool for measuring and evaluating Donor Loyalty. In a joint effort, leading research firm Walker Information and eTapestry have teamed up to provide a powerful tool built specifically for nonprofit organizations. Unlike traditional satisfaction surveys, this new tool will measure donor loyalty, which is a positive indicator of future behavior.

"We are very excited to be working with Walker Information – who is the leader in providing customer loyalty measures for fortune 500 companies – to provide a truly revolutionary tool to help nonprofits strengthen donor relationships," said Steve Rusche, Co-Founder and COO of eTapestry. "Because the Donor Loyalty service is completely integrated with an organization's eTapestry database, they can use historical data and future intentions to build a successful fundraising strategy."

Overview of the Donor Loyalty service:

Historically, nonprofits have been very good at serving those who are recipients or beneficiaries of their mission. They have typically attracted and retained a loyal employee base. However, when it came to contributors, only a small number of organizations have been successful at building a truly loyal donor base.

In addition, the number of nonprofit organizations continues to grow by roughly 100,000 each year. This would suggest that the competition for donor dollars will become even more challenging in the future.

Add to this the fact that the nonprofit sector is being evaluated and scrutinized more than ever. From accounting procedures, to resource allocation, to outcome based performance measures, nonprofit organizations must now meet the highest expectations of donors.

The most successful organizations think of their donors as "shareholders" or "investors". They understand that the relationships built with donors will have much to do with their ultimate success.

The Donor Loyalty Survey helps organizations build stronger relationships with their supporters by:

1. Providing your donors with the opportunity to give you constructive feedback on their perceptions and relationship with you. Supporters value organizations who seek their opinion.

2. Scientifically measuring your donor's loyalty by classifying them into 4 levels – Truly Loyal, Accessible, Trapped, or High Risk. This gives you the information needed to build on, or correct, a donor relationship.

3. Providing comparison reports that help you understand differences based on demographics as well as reports that give you comparisons to aggregate results for other nonprofit organizations.

Riley Children's Foundation chooses eTapestry for Donor Management

Web-based system rivals Windows-based systems

INDIANAPOLIS - (Oct. 3, 2006) - Riley Children's Foundation-one of the larger hospital foundations in the nation-has chosen eTapestry to manage its 200,000 donor records and online giving.

The foundation helps to support Indianapolis-based Riley Hospital for Children, which manages annual revenue of about $30 million. The move takes the foundation from a large, traditional server-based system to the Web-based eTapestry.

Riley Children's Foundation submitted seven requests for proposals to vendors before receiving demonstrations from three of them. After producing a product matrix on the three remaining vendors, it was clear eTapestry was more than capable of providing what the foundation needed.

"My original thought was that eTapestry was for smaller nonprofits and was not as robust or comprehensive enough to do what we needed," said John Baldwin, the foundation's information technology director. "After developing the product matrix, it became evident to us right then and there that it could do the job."

By using eTapestry, Baldwin manages one less server and does not have to perform any software maintenance or data backups. Also, foundation employees with the proper clearance can customize and pull their own reports at any time.

After researching eTapestry and its competitors, Baldwin said he is convinced that the management efficacy of a Web-based system over a Windows-based system will soon make it the technology standard.

"We are thrilled to offer our services to one of the largest and most recognized hospital foundations right in our own backyard," said eTapestry CEO Jay Love. "It's significant that an organization like the Riley Children's Foundation recognizes the value of Web-based technology as the future standard for the nonprofit industry."

Bill McGinly, chief executive officer of the Association of Healthcare Philanthropy and an eTapestry board member, said Riley's switch is indicative of the beginning of change in the way health care foundations do business.

"Many foundations in the hospital world are dependent on their affiliated hospital databases, which means they are slower to embrace new opportunities," McGinly said. "The foundation's decision is recognition of the fact that this kind of system can efficiently handle its needs without extra staff to administer it."

Baldwin said he also anticipates a fairly quick conversion and training period.

"eTapestry's ongoing, online training is superior to anything I've seen anywhere else," he said. "Foundation employees can get up to speed quickly at their own convenience, and the foundation doesn't have to pay exorbitant fees to travel and train them."

About Riley Children's Foundation
Riley Children's Foundation supports Riley Hospital for Children, Camp Riley for Youth with Physical Disabilities and the James Whitcomb Riley Museum Home. The foundation helps to support Indiana’s only comprehensive hospital dedicated exclusively to the care of children. Riley Hospital, part of the nationally ranked Clarian Health Partners, has provided compassionate care, support and comfort to children and their families since 1924. More than 230,000 families turn to Riley for care each year. For more information, go to www.RileyKids.org.

eTapestry offers a free online giving page to nonprofits

Nonprofits may use their existing database and eTapestry-powered online giving

INDIANAPOLIS (Feb. 1, 2006) - eTapestry will build a free, customized online giving page for nonprofit organizations regardless of what database they use.

Nonprofits will only be responsible for a one-time $10 fee to integrate the page with eTapestry’s database and credit card processor.

"We believe so strongly that fundraisers need to focus on online giving that we are providing these custom pages for free," said eTapestry CEO Jay Love.

eTapestry's database can hold donor records until they are moved to the nonprofits’ current database, or nonprofits can continue to use the same eTapestry database software serving more than 5,000 nonprofits worldwide.

"Many online giving systems are too expensive and complicated for nonprofits, or they are too generic and operate outside of the organization’s Web site," Love said. "eTapestry's online giving is easy to use and allows nonprofits to maintain integration between their Web sites and giving pages and continue with their existing databases."

Recent statistics show that nonprofit organizations using online giving have seen their online donations grow by more than 50 percent a year. Organizations using eTapestry’s fundraising database software and online giving tools together have seen even more dramatic increases.

In 2004, eTapestry customers processed more than $2.4 million online, compared with $12 million online with an average gift of $160 in 2005. Anecdotally, many nonprofits have reported that the size of their online gifts is typically larger than their average gift overall.

"Online giving has come a long way in the past three or four years. Donors are getting used to its convenience and have come to trust and expect it," Love said. "The offer also gives eTapestry an opportunity to showcase our customer service and open a dialogue with new customers."

Nonprofit organizations may sign up for the free offer Feb. 1-April 30.

eTapestry’s standard secure online giving page includes specific fields for online giving and incorporates the nonprofit's logo and color. The page will automatically connect to IATS Ticketmaster for transaction processing and an eTapestry database, which is free for the first 500 records. The offer includes free set up for credit card processing with the standard 3.3 percent transaction fee per donation.

As part of the offer, eTapestry will provide new customers with a free e-mail blast for up to 5,000 e-mail addresses to announce the availability of online giving. After three months, nonprofits will be responsible for standard hosting fees, beginning at $10 per month. For more information, call 888.739.3827.

"Personal donor sponsorships have been an integral part of fundraising before nonprofits began using the Internet," said eTapestry CEO Jay Love. "We've brought together two great solutions that give volunteers a preferable method to interact with their donors for event fund raising, while at the same time making life easier for the people who do the day-to-day nonprofit work."

Firstgiving provides nonprofits with online fund-raising Web pages that fund-raisers personalize and e-mail to their friends and family when raising money for events. Donors link to the page to make secure online donations that are tracked on their fund-raiser's Web page.

The partnership between eTapestry and Firstgiving allows eTapestry nonprofit customers to collect the data that donors enter from the Web page as the donors make online donations. The donor information rolls seamlessly into the nonprofits’ eTapestry databases, eliminating the need for the nonprofits to duplicate the data entry and providing centralized access to reporting of event fund-raiser and donor information.

"Firstgiving and eTapestry are easy-to-use applications originally developed with the small to medium-sized organization in mind," said Firstgiving CEO Mark Sutton. "Both companies help our customers stay in budget because we charge customers based on how much volume they need. When our clients grow and succeed, so do we."

The integration, available in February, offers eTapestry customers a much-requested tool.

"We waited until we could do it right," Love said. "This partnership brings together two best-of-breed partners. It gives eTapestry an opportunity to provide a needed service from an online fund-raising pioneer that truly complements our product."
